These Terms & Conditions ("Terms") govern the use of the invoicing and payout platform operated by FREE‑Iceland ehf. (trading as FreelancePay, kt. 530323‑0130, vsk nr. 148836), Laugavegur 13, 101 Reykjavík, Iceland ("FreelancePay", "we", "us").

By creating an account or using any part of the Service, you accept these Terms and enter into a legally binding contract with FreelancePay.

If you do not agree, do not use the Service.


1. Definitions

  • Service — the web and mobile platform, dashboards, and related features that enable freelancers to issue invoices, collect payments, and receive salary payouts.
  • User / you — any natural person (≥ 18 years old) who registers an account with a valid Icelandic electronic ID (rafrĂŚn skilrĂ­ki) to invoice through FreelancePay.
  • Client — any entity you invoice via the Service (e.g., Wolt Enterprises IS for courier deliveries).
  • Payout — net salary paid by FreelancePay to you after deductions of fees, taxes, social charges, and pension contributions.
  • Advance Pay — an optional feature allowing early payout before the Client has settled the invoice.

2. Eligibility & Registration

  1. You must be at least 18 years old, hold an Icelandic kennitala, and authenticate with electronic ID.
  2. You warrant that all registration data (name, address, bank IBAN, pension‑fund choice) is accurate and kept up to date.
  3. Each User may hold one active account. We may suspend duplicate or incomplete accounts.

3. Scope of the Service

  1. FreelancePay acts as payment agent and payroll intermediary: we issue invoices on your behalf, collect funds, withhold statutory charges, and pay you as a self‑employed contractor.
  2. We are not your employer and do not provide accident or liability insurance. You remain an independent contractor responsible for your own insurance cover.
  3. We do not give legal, tax, or financial advice. Consult a professional for your specific situation.

4. Fees & Payouts

  1. Service fee: as published on our website at the time of invoicing, subject to applicable VAT (vsk). The fee is deducted automatically before payout.
  2. Advance Pay fee: displayed in‑app before confirmation and deducted from the early payout.
  3. Payout schedule (Wolt couriers):
    • Work 1–15 → paid 25th same month.
    • Work 16–end → paid 10th next month.

    If the date falls on a public holiday/weekend, payout occurs on the next banking day (or earlier at our discretion).

  4. Bank charges, FX spreads, or returned‑payment fees imposed by your bank are your responsibility.

5. Taxes, Social Charges & Pension

  1. We calculate and withhold Icelandic income tax, tryggingagjald (social security), endurhÌfingarsjóður, and pension (15.5 % = 11.5 % employer + 4 % employee) based on rates in force on the payout date.
  2. You authorise FreelancePay to remit these amounts to Skatturinn and your nominated pension fund.
  3. You are responsible for monitoring your annual turnover and registering for VAT (VSK) once it exceeds 2 million ISK/12 months.
  4. You are responsible for completing your annual tax return; we provide payslips and income statements for that purpose.

6. User Obligations

  1. Provide accurate work data (hours, deliveries, expenses). False, misleading, or fraudulent entries are grounds for immediate termination and potential legal action.
  2. Maintain valid bank details and contact information.
  3. Comply with all applicable laws, Client policies, and these Terms.
  4. Inform us by the 10th of the month if you intend to switch to self‑invoicing or another service (see § 12).

7. Prohibited Uses

You must not:

  • Use the Service for activities that are illegal, harmful, misleading, or violate Client terms.
  • Attempt to bypass the Service fee or manipulate invoiced amounts.
  • Reverse‑engineer, decompile, or interfere with platform security.

8. Advance Pay & Credit Risk

  1. Advance Pay is discretionary; we may decline without reason.
  2. If the Client fails to pay, you remain liable to repay the advanced amount upon our written request.
  3. We may offset any such debt against future payouts.

9. Intellectual Property

All software, trademarks, and content on the platform remain the property of FreelancePay or its licensors. You receive a non‑exclusive, non‑transferable licence to use the Service for legitimate invoicing.


10. Personal Data & Privacy

Processing of personal data is governed by our Privacy Policy, which forms part of these Terms.


11. Third‑Party Services (e.g., Wolt)

FreelancePay is an independent service partner of Wolt but not part of Wolt's corporate group. Your relationship with any Client is separate, and FreelancePay is not liable for the Client's acts or omissions.


12. Term & Termination

  1. These Terms remain in force until your account is closed.
  2. User termination: email info@freelancepay.is with subject "Transfer to Self‑Invoicing" at least 15 calendar days before the switch date. Pending invoices and tax obligations must be settled first.
  3. FreelancePay termination: we may suspend or close your account immediately for breach, fraud, or legal risk. We will provide notice unless prohibited by law.
  4. Sections 9–16 survive termination.

13. Warranties & Liability

  1. The Service is provided "as is". We do not guarantee uninterrupted availability.
  2. To the maximum extent allowed by law, our liability is limited to the total Service fees you paid in the preceding 12 months.
  3. We are not liable for indirect or consequential losses, lost profits, or third‑party claims.

14. Indemnity

You will indemnify FreelancePay against any loss, claim, or penalty arising from your breach of these Terms or violation of applicable law.


15. Force Majeure

Neither party is liable for delay or failure caused by events beyond reasonable control (e.g., natural disasters, internet outages, government acts).


16. Changes to Terms

We may modify these Terms by posting an updated version 14 days before it becomes effective. Continued use after the effective date constitutes acceptance. Material fee changes require explicit email notice.


17. Governing Law & Dispute Resolution

These Terms are governed by Icelandic law. Any dispute shall be submitted to the exclusive jurisdiction of the District Court of Reykjavík (HÊraðsdómur Reykjavíkur), unless mandatory consumer law grants you the right to sue elsewhere.
